The Law Offices of Pamela A. Mann is a boutique practice dedicated exclusively to the law of tax-exempt organizations, one of a handful of such firms in the United States.  Our clients are domestic and international public charities and private foundations (both grant-making and operating foundations), that focus in the arts, education, science, and social advocacy and welfare, and include cultural and historical institutions, healthcare research organizations, scientific journals and direct service agencies; churches and other religious organizations; professional and trade associations; and social clubs. We also represent directors and officers, members, and donors to exempt organizations on a regular basis. 

We assist  our clients with virtually all aspects of their organizations’ operations, at all stages of operation. We help them to understand and comply with corporate governance best practices, provide guidance on charitable solicitation, grant-making and the management of charitable assets, and we advise clients on the tax laws relating to their organization’s exempt status so that they can maintain compliance with the various restrictions these laws impose on each organization and its day to day activities. We serve as general counsel to many of our clients and represent clients in corporate transactions unique to exempt organizations as well as those common to all enterprises.  We also have significant experience representing our clients in investigations, both those commenced by various governmental regulatory agencies and internal investigations undertaken by exempt organizations themselves. We regularly advise our clients with respect to controversies that arise between board members, members, or related entities, and, where negotiations do not produce a satisfactory resolution and litigation results, we represent our clients in that litigation. 

We often advise those interested in forming new exempt organizations, guiding them through the process of defining the proper corporate and tax structure that will best achieve their goals. We help them to understand the requirements for obtaining, and maintaining, tax-exempt status and assist in forming new organizations and applying for tax-exempt status .
